Jeffrey Gussoff’s practice consists of a broad spectrum of real estate matters, including representation of lenders in commercial real estate mortgage and construction loans; all types of industrial, commercial and retail leasing; the acquisition, financing and development of commercial and multiuse properties; and the real estate aspects of complex corporate transactions. Jeff's national practice includes the representation of institutional and private investors, lenders, public and closely held companies, developers, landlords and tenants.
As developer’s counsel in complex real estate development projects in New York, New Jersey and elsewhere in the United States, Jeff has participated in developments such as Campus Town at the College of New Jersey, A & S Plaza (now known as Manhattan Mall) and Park Avenue Court Condominium. In addition, Jeff has assisted in the development of suburban office headquarters, manufacturing facilities, biopharmaceutical manufacturing facilities and the creation of commercial condominiums. He is familiar with various financing vehicles, including single-tenant net leases, synthetic lease financing and land bank financing. Jeff also negotiates architect’s agreements, construction contracts and construction management agreements.
Jeff also represents clients in acquiring, selling and financing a broad spectrum of commercial properties, including office buildings, nursing homes and shopping centers. For corporate clients, he acquires and sells corporate headquarters buildings, negotiates net leases and space leases, and designs lease forms for use by in-house real estate personnel. As landlord’s counsel for major office buildings in New York and New Jersey, Jeff negotiated several leases that were among New York City’s largest lease transactions for the years in which they were completed. As landlord's counsel, he negotiated the first HMV Music Store lease in New York City for what was then the largest music store in the Western Hemisphere, and has negotiated leases with other anchor tenants. As a tenant's lawyer, Jeff negotiates office, industrial and retail leases for large and small tenants, including long-term net leases and ground leases.
Jeff actively participates in the structuring and strategy of real estate and partnership litigation. Jeff counsels closely held businesses on a wide variety of matters and advises clients in corporate divorce proceedings and settlement negotiations. Jeff also acts as a court-appointed trustee, overseeing the management and disposition of approximately 3,000 acres of land in Florida. Jeff is a certified mediator. Several of his articles on real estate and construction issues are published, and he occasionally teaches continuing education classes for the New Jersey Building Owners and Managers Association.
